1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of Need24 Digital Marketing Agency ("Service"), operated by us. By creating an account or using the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872.

2. Description of Service

Need24 Digital Marketing Agency provides a WhatsApp-based CRM and marketing automation platform enabling businesses to manage contacts, campaigns, chatbots, and customer communications. Features include but are not limited to: bulk messaging, chatbot builder, contact management, campaign analytics, and subscription-based plans.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to terminate accounts that provide false information.

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Send spam, unsolicited messages, or bulk messages without recipient consent.
• Violate WhatsApp's Business Policy or Meta's Terms of Service.
• Transmit unlawful, defamatory, obscene, or fraudulent content.
• Infringe upon intellectual property rights of any third party.
• Distribute malware, viruses, or any harmful code.
• Engage in phishing, scamming, or deceptive practices.
• Violate any applicable Indian law or regulation including the IT Act, 2000.
• Attempt to gain unauthorized access to our systems or other users' accounts.

5. Subscription and Payment

• Subscription plans are billed in advance on a monthly or annual basis as selected.
• All prices are inclusive of applicable taxes (GST) as per Indian tax laws.
• Payments are processed through secure third-party payment gateways.
• We reserve the right to change subscription pricing with 30 days advance notice.
• Non-payment may result in suspension or termination of your account.

6. WhatsApp API Compliance

Use of WhatsApp Business API through our platform is subject to Meta's Business Policy. You are solely responsible for ensuring your messaging activities comply with applicable WhatsApp policies. Violations may result in suspension of WhatsApp features or termination of your account without refund.

7. Intellectual Property

All content, trademarks, logos, software, and materials on the platform are the exclusive property of Need24 Digital Marketing Agency or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, or redistribute any part of the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of the platform complies with applicable data protection laws, including obtaining proper consent from your contacts.

9. Limitation of Liability

To the maximum extent permitted by law, Need24 Digital Marketing Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount paid by you in the last 3 months.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted, error-free, or secure operation of the Service.

11. Termination

We may suspend or terminate your account at any time with or without notice for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us, subject to our Refund Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in India. Before initiating legal proceedings, both parties agree to attempt good-faith resolution through written notice and a 30-day negotiation period.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.
